SWEEPSTAKES DATES: The "2022 Mastercard Upgrade Sweepstakes" (the "Sweepstakes") begins at 12:00 a.m. Eastern Time ("ET") on April 13, 2022 and ends at 11:59 p.m. ET on December 5, 2022 (the "Sweepstakes Period"), subject to entry period dates and times as outlined in the "ENTRY PERIODS" section below.

ELIGIBILITY: The Sweepstakes is open only to persons who are a legal resident residing in the 50 United States or District of Columbia and are eighteen (18) years of age or older or a business entity at time of entry (the "Entrant"). Business entities are eligible to participate. In the event that a Prize Winner (defined below) is a business entity, the Prize (defined below) will be awarded to the business entity or the owner of the business.Officers, directors, managers and employees (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of Merrick Bank (the "Sponsor") and each of its respective parents subsidiaries, affiliates and related companies, licensees, distributors, retailers, dealers, printers, advertising and promotion agencies, consultants and agents, and any others engaged in the development, production, execution or distribution of this Sweepstakes, including the National Sweepstakes Company, LLC (the “Independent Administrator”) (herein all are defined as "Sweepstakes Entities"), are not eligible to participate or win a prize. Sweepstakes is subject to all federal, state and local laws and regulations. Sweepstakes is void outside the 50 United States and wherever else restricted or prohibited by law.

ENTRY PERIODS: The Sweepstakes Period is subject to five (5) entry periods (each, an “Entry Period”). Each of the Entry Periods begins at 12:00 A.M. ET and ends at 11:59 P.M. ET on the start date and end date as outlined below.

Persons will receive an email or letter notification regarding their Mastercard during a specified Entry Period. Persons must complete their entry(s) according to the “HOW TO ENTER” section during this respective Entry Period in order to receive the entries during that respective Entry Period. In the event an Entrant enters in another Entry Period, his/her entry will be deemed ineligible.

HOW TO ENTER: There are eight (8) different forms of entry:

1. Card Design: Upon receiving notification from the Sponsor, Entrant can select their Mastercard new card color by the date specified in the notification through any of the channels provided by the Sponsor to receive one (1) entry into their respective Entry Period. For a select set of Entrants, a specific Mastercard card color will be determined on their behalf; therefore, these Entrants will automatically receive one (1) entry into their respective Entry Period.

2. Enrollment Entry: To receive one (1) entry into the Sweepstakes via the enrollment entry, Entrants must enroll in Sponsor’s Cardholder Center during the Sweepstakes Period. Entrants who enroll for the Cardholder Center at www.merrickbank.com​/cardholdercenter will receive one (1) entry into their respective Entry Period. For those Entrants who are already enrolled in the Cardholder Center prior to the start date will automatically receive one (1) entry into their respective Entry Period.

3. Verification of Information: To receive one (1) entry into the respective Entry Period via the Verification of Information, Entrants must verify, and provide if missing, their mailing address, phone number and email address.

4. Paperless Entry: To receive an entry into the Sweepstakes via the Paperless Entry, Entrants must enroll in Sponsor’s Online Paperless Statements during the Sweepstakes Period. Entrants who enroll for Online Paperless Statements at www.merrickbank.com/paperless will receive one (1) entry into their respective Entry Period. For those Entrants who are already enrolled to receive Online Paperless Statements prior to the start date will automatically receive one (1) entry into their respective Entry Period.

5. Activation: To receive one (1) entry into the respective Entry Period via Activation, Entrants must visit www.merrickbank.com​/activatemc, use the Merrick Bank Mobile App, or call the phone number found on your Merrick Bank Mastercard to activate.

6. Purchase: Receive one (1) entry into the Sweepstakes for each eligible purchase transaction in the United States on your Merrick Bank Mastercard during the respective Entry Period. Only purchases made with a Merrick Bank Mastercard in good standing (both at time of entry and prize winner selection) and issued by Merrick Bank in the U.S. and that are processed and submitted through Mastercard’s U.S. transaction processing system during the Entry Period are eligible for entry.

Certain restrictions may apply. Only eligible Mastercard purchases made with a Merrick Bank Mastercard that is not in default under the cardholder agreement for that account processed through Mastercard's transaction-processing system during the Entry Period, are eligible for entry.

7. Photo Selfie:

• Instagram: In order to enter via Instagram™, you must be a registered Instagram™ user and your profile settings must be set to “public”. To become a registered user of Instagram™, create an account on Instagram at www.instagram.com. To enter, visit www.instagram.com/merrickbank during the respective Entry Period and follow @merrickbank. Then, post a selfie on Instagram Profile with your Merrick Bank Mastercard and state how you plan on using your card to purchase with #MerrickBankMastercardSweepstakes. Once your photo is approved by the Sponsor you will receive a Comment on your Instagram Profile to click the link and complete the entry form to receive one (1) entry into the respective Entry Period.


• Online: Visit http://www.merrickbank.com/mastercard during the respective Entry Period and complete the online entry form in its entirety and upload a photo with your Merrick Bank Mastercard and state how you plan on using your card to purchase. Then click “Submit” to receive one (1) entry into the respective Entry Period.

Photos must comply with Instagram’s photo posting policies and the following minimum guidelines for Online. Photos must be submitted in .jpg, .jpeg or .png format under 20MB. Entrant cannot use multiple social media accounts to enter. Entrant may submit multiple posts, but each post must be unique. Entrants who receive an email or letter notification in Entry Period 1 will receive one (1) automatic entry for the Photo Selfie entry method.

8. Mail-in Entry: To enter the Sweepstakes without being a Merrick Bank customer and/or without completing the other entry method options, you may enter by mail as follows: On a plain 3” x 5” card, legibly handprint or type your first name, last name, complete address, city, state, zip code, home phone number (including area code) and email address (if any) and mail your completed 3” x 5” card to: “2022 Mastercard Upgrade Sweepstakes” (including the Entry Period you are entering on the bottom right hand corner of the outer envelope) PO Box 428, Newark, NY 14513. For example: 2022 Mastercard Upgrade Sweepstakes, PO Box 428, Newark, NY 14513, ENTRY PERIOD 1. Each envelope shall equal one (1) entry. Entries must be postmarked and received by the dates in the Entry Period chart above to be eligible for the respective Entry Period drawing. If the outer envelope does NOT include the Entry Period the mail-in entry will be ineligible. Entrant may enter as often as they wish. Multiple entries submitted by a single Entrant or in the same envelope are void. Entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. Sponsor will not verify receipt of entries for Entrants. All entries submitted become the sole property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, misdirected, illegible, damaged or postage due mail-in entries.

There is no limit to the number of Entries an Entrant may receive. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, telephone numbers, identities, and/or any other methods, will void that Entrant’s entries and that Entrant may be disqualified from the Sweepstakes. In the event of uncertainty as to the identity of an Entrant entering with his/her Mastercard, the Entrant will be deemed to be the first named person of the Merrick Bank account associated with the Mastercard.

ADDITIONAL CONDITIONS: Entries not meeting the requirements as set forth in these Official Rules or that contain prohibited, inappropriate, or irrelevant content, as determined by Sponsor and/or Independent Administrator in its sole discretion, will not be eligible and will be disqualified. Any entry suspected by Sponsor and/or Independent Administrator of violating the proprietary rights of any third party (including but not limited to intellectual property rights and rights of privacy/publicity), or any local, state or federal law(s) will be disqualified, at Sponsor’s sole discretion.

Sweepstakes Entities not responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruptions, deletions, defects, delays in operation or transmissions or any other reason, theft or destruction or failures, faulty transmissions or other telecommunication malfunctions, Entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, technical malfunctions, or otherwise.

By participating, Entrant agrees that their entry may be shared on social media sites or other websites by the Sponsor.

Without limiting the foregoing, each Entrant consents to have the Entrant’s entry made available for public viewing and/or comment on the Internet.

In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the Authorized Account Holder (defined below) of the e-mail address connected with the account from which the entry was sent. “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by the Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. An Entrant may be requested to provide Sponsor with proof that the Entrant is the Authorized Account Holder of the email address associated with the entry.

Any attempt by any Entrant to enter this Sweepstakes using multiple/different social media accounts, e-mail addresses, identities, registrations and logins, or any other methods may void his or her entries and may result in his or her disqualification, at the sole discretion of Sponsor. Use of any automated system to participate in the Sweepstakes is prohibited and may result in disqualification.

Without limitation, Sponsor reserves the right in its sole discretion to disqualify any Entrant whose social media account, in Sponsor’s sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Sweepstakes or any other person or entity, does not comply with these Official Rules, or if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein.

Any entry deemed inappropriate or unsuitable, in Sponsor’s sole discretion, will be disqualified. Entry must not contain material that is inappropriate, indecent, profane, obscene, hateful, tortious, defamatory, slanderous, libelous (including words or symbols that may depict inappropriateness), violent, self-mutilating or illegal.

The Entry must not contain or depict material that promotes or discriminates bigotry, racism, hatred or harm towards any group, business, organization or person. The Entry must not contain any content that infringes or may infringe third party rights, including, without limitation, any copyright, name, trademark, logo, trade dress, or other personal or proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity or make reference to any commercial/corporate advertising (including but not limited to corporate logos, brand names, charities, slogans, political, or religious statements), or be otherwise objectionable.

All submitted Entries must be in keeping with Sponsor's image as determined by Sponsor, in its sole discretion, or entry will be disqualified from the Sweepstakes. Entry must not depict reference any of Sponsor’s competitors or competitor’s products.

By submitting an entry, the Entrant understands and grants to the Sponsor an irrevocable, perpetual, non-exclusive worldwide license to use his/her entry/photo, name, address and likeness on the Sponsor’s various websites and social media sites and in advertising and/or promotional activities worldwide without compensation, permission or notification. Sponsor reserves the right in its sole and absolute discretion to alter, change or modify any entry. By submitting an entry, Entrant will indemnify and hold harmless the Sponsor, Administrator and related entities, agents and assigns from any claims and damages (including reasonable attorneys' fees) arising from or relating to the breach or alleged breach of your representations and warranties herein, the entry, or Entrant’s conduct in creating the entry, the acceptance or use of any prize or otherwise in connection with this Sweepstakes.

ENTRIES POSTED TO THE WEBSITE ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER.

NON-QUALIFYING ENTRIES: Entries (a) containing general obscene, lewd, crude, vulgar, profane, defamatory or inappropriate text, including acts of violence or acts that appear to cause harm, and/or (b) containing other offensive content and/or any content expressing explicit, graphic or excessive indecent content that is or could be considered inappropriate, unsuitable, or offensive, and/or (c) containing and displaying third-party brands prominently and intentionally, or any materials that violate or infringe (or may infringe) any copyright (including, without limitation, music or artistic work), trademark, logo, or other mark that identifies a brand, entity or other proprietary right of any person living or deceased, including but not limited to rights of privacy or publicity or portrayal in a false light, and/or (d) otherwise violate these Official Rules, as determined by Sponsor, in its sole discretion, shall be disqualified from the Sweepstakes. Sponsor reserves the right to disqualify an Entry with offensive content or material that it feels is inappropriate in any way. Each entry must be an original work, and must not have been previously published, must not be awaiting publication, nor may be submitted for publication consideration during the Sweepstakes Period.

WINNING/NOTIFICATION: On or about the drawing dates outlined in the Entry Period chart above, a total of one (1) grand prize winner (the “Grand Prize Winner”) and two (2) first prize winners (each a “First Prize Winner”) will be selected in a random drawing per Entry Period. The following number of second prize winners (each a “Second Prize Winner”) will be selected per Entry Period: Entry Period 1: 157, Entry Period 2: 1,997, Entry Period 3: 2,710, Entry Period 4: 2,568, Entry Period 5: 2,568.

Drawings will be conducted under the supervision of the Independent Administrator, an independent judging organization, whose decisions are based on their sole discretion and interpretation of these Official Rules, and are final and binding in all respects. Odds of winning depend upon the total number of entries received per Entry Period. Entries from previous Entry Periods will NOT roll over to the next Entry Period.

PRIZES:
Grand Prizes: Each Grand Prize Winner will receive $10,000 to be awarded in the form of a check (“Grand Prize”). There will be a total of five (5) Grand Prizes to be awarded. Total Approximate Retail Value (“ARV”) of all Grand Prizes is $50,000.

First Prizes: Each First Prize Winner will receive $1,000 to be awarded in the form of a check (“First Prize”). There will be a total of ten (10) First Prizes to be awarded. Total ARV of all First Prizes is $10,000.

Second Prizes: Each Second Prize Winner will receive a statement credit to his/her Mastercard Account based on the selected eligible purchase (“Second Prize”). In the event the Second Prize Winner does not have a Mastercard Account, the Second Prize will be awarded as a $50 check based on the median transaction of all Merrick Bank Accounts. There will be a total of ten thousand (10,000) Second Prizes to be awarded. Total ARV of all Second Prizes is $500,000

The total ARV of all prizes to be awarded is $560,000.

If a prize winner is a business entity, the prize will be awarded to the business entity. If the Prize Winner does not have a Merrick Bank Mastercard Account, the prize will be awarded to the prize winner in the form of a check. If any prize winner has a Merrick Bank Mastercard Account that is past due, but not charged off (“charged off” means the account has been classified as uncollectible by the Sponsor’s policy under applicable banking regulations), the prize winner will be used to bring the Merrick Bank Mastercard Account current and any remaining amount will be awarded in the form of a check or statement credit. If any prize winner has a Merrick Bank Mastercard Account that is charged off, the prize winner will be disqualified. An alternate prize winner will be selected if the prize winner is disqualified.

PRIZE RESTRICTIONS: Limit of one (1) prize per Entrant for the entire Sweepstakes. Sponsor will determine all details of a prize in their sole discretion. No prize substitution, except at Sponsor’s sole discretion or as otherwise provided herein. Sponsor reserves the right to substitute a prize of equal or greater value if a prize becomes unavailable due to reasons beyond the control of the Sponsor; provided no such substitute prize shall be from Sponsor without its prior written consent. Prizes are not transferable prior to award. No more than the number of prizes set forth in these Official Rules will be awarded. Prize winner consents to Sponsor’s use of his/her name, likeness, biographical information, image, and/or voice and other indicia of persona for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission or approval (TN residents will not be required to sign a publicity release as a condition of winning a prize).

PRIZE CLAIMS: Each potential Grand and First Prize Winner will be notified via email from the Administrator on or about five (5) days following the drawing date (the “Notification”). Except where prohibited, each potential Grand and First Prize Winner will be required to sign and return to the Independent Administrator, within the date and/or time indicated in the Notification, an Affidavit of Eligibility and Release of Liability and Public Release Form and an IRS W-9 form (collectively the “Paperwork”) in order to claim the prize. If the potential Grand or First Prize Winner fails to return the Paperwork within that time frame, is found to be ineligible, does not comply with these Official Rules, or if the Notification is returned as undeliverable, then the potential Grand or First Prize Winner will be disqualified and an alternate Grand or First Prize Winner will be selected from among the remaining non-winning eligible entries received during the respective Entry Period, time permitting. All federal, state, and local or other tax liabilities (including income taxes) arising from the acceptance of the Grand or First Prize will be the sole responsibility of the prize winner. The value associated with the Grand and First Prize is taxable as income and the prize winner is solely responsible for any taxes, including, but not limited to all applicable federal, state, and local taxes that become due with respect to the value of the Grand or First Prize. The Sponsor must report the value of the Grand and First Prize to the Internal Revenue Service in the year the Grand or First Prize is received by the prize winner and will be reported to the prize winner and the Internal Revenue Service in the form of a 1099 form.

Second Prizes will be automatically awarded to the prize winner if the prize winner is a Merrick Bank customer or sent to the prize winner if the prize winner is a mail-in Entrant. In the event that the Second Prize is returned as undeliverable or is ineligible, the prize will be forfeited and an alternate Second Prize Winner will be selected from the remaining non-winning eligible entries for the respective Entry Period.

Second Prize Winners will receive his/her prize within 4 to 6 weeks from the drawing date. Grand and First Prize Winners will receive his/her prize within 1 to 2 weeks from completion of the Paperwork.

SWEEPSTAKES GENERAL CONDITIONS: This Sweepstakes is subject to all applicable federal, state and local laws. By participating, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. Sweepstakes Entities are not responsible for lost, late, misdirected, undeliverable, illegible, or incomplete entries, whether due to system errors or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. If for any reason this Sweepstakes is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor or the Independent Administrator which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and randomly draw from those entries received up to the cancellation/suspension date. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than the administration of the Sweepstakes or the determination of prize winners shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Utah or the appropriate Utah State Court; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will Entrant be permitted to obtain awards for and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Utah, without giving effect to any choice of law or conflict of law rules (whether of the State of Utah or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Utah.

NO LIABILITY: By entering, Entrants and prize winners agree to comply with all Official Rules, as stated and agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities, Instagram™ and each of their respective officers, directors, employees, representatives and agents from and against any claims made by prize winners, Entrants, or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes.

WINNER’S LIST REQUEST: For a list of prize winners, please submit a self-addressed, stamped envelope by January 5, 2023 to “2022 Mastercard Upgrade” Winners List Request, PO Box 458, Newark, NY 14513. A copy of these Official Rules may also be obtained at www.merrickbank.com/mastercard during the Sweepstakes.
